All specific deliverables, timelines, and payment milestones will be outlined in a distinct Master Services Agreement (MSA) executed before development commences.
2. Intellectual Property (IP) Rights
Unlike standard agencies, we guarantee Full IP Ownership to our clients upon the final clearing of project invoices. The custom code, architectures, and UI/UX designs built explicitly for your project become your exclusive property. Orvinex retains the right to display the finalized public-facing project in our internal portfolio.
3. Client Responsibilities
To ensure our guarantee of speed and precision, clients must provide necessary assets, API keys, and approvals within the timelines established in the MSA. Failure to do so may result in deployment delays.
4. Limitation of Liability
While we architect highly secure and optimized systems, Orvinex shall not be held liable for indirect, incidental, or consequential damages arising from third-party server failures (e.g., AWS, Hostinger), third-party API deprecations (e.g., OpenAI, Stripe), or malicious attacks occurring post-deployment if security protocols are modified by the client.
5. Modifications to Terms
Orvinex reserves the right to modify these terms at any time. Changes will be updated on this page with an adjusted "Last Updated" timestamp.
