These Terms of Service ("Terms", "Terms of Service") govern your relationship with Orvinex Tech ("us", "we", or "our") and dictate your use of our website, custom software development, mobile application development, and SaaS architectural services.
Please read these Terms carefully before utilizing our services. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.
1. Services Provided
Orvinex Tech is an enterprise-grade technology agency based in Kolkata. We provide custom software engineering, ERP solutions, mobile application development, digital marketing, and web platform architecture. The specific deliverables, timelines, and costs for any custom project will be defined in a mutually agreed upon Statement of Work (SOW) or Master Services Agreement (MSA).
2. Client Responsibilities
To ensure rapid and flawless deployment, clients must:
- Provide accurate, complete, and timely information regarding project requirements.
- Designate a primary point of contact authorized to make technical and financial decisions.
- Provide necessary access to existing servers, credentials, APIs, or third-party accounts required to complete the project.
3. Intellectual Property Rights
Upon receipt of full and final payment for custom development services, all Intellectual Property (IP) rights, source code, and assets created specifically for the client's project are transferred to the client, unless otherwise specified in the SOW. Orvinex Tech reserves the right to use underlying, non-proprietary boilerplate code, libraries, and frameworks across multiple projects.
4. Payment Terms
Our payment structures (milestone-based or fixed-price) are outlined in individual project proposals. Unless otherwise stated:
- An initial mobilization deposit is required before engineering begins.
- Invoices are due upon receipt.
- We reserve the right to suspend development or withhold source code transfer if payments are delinquent.
5. Warranties and Limitation of Liability
We build robust, scalable architectures using industry best practices. However, software operates in dynamic environments. We provide a defined bug-fix warranty period (usually 30-90 days) post-launch, detailed in your MSA.
In no event shall Orvinex Tech, nor its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption arising out of your use of the deployed software or our website.
6. Non-Solicitation
During the term of any active project and for a period of twelve (12) months thereafter, clients agree not to directly or indirectly solicit, recruit, or hire any engineer, developer, or employee of Orvinex Tech without our explicit written consent.
7. Governing Law and Jurisdiction
These Terms shall be governed and construed in accordance with the laws of India. Any legal disputes, claims, or proceedings arising out of or relating to these Terms or our services shall be brought exclusively in the competent courts located in Kolkata, West Bengal, India.
8. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
